mtvU's "Curb Global Warming" Sweepstakes
OFFICIAL RULES
1. NO PURCHASE NECESSARY TO ENTER OR WIN A PRIZE. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

2. Promotion Period: "mtvU's Curb Global Warming Sweepstakes" (the "Sweepstakes") commences at 12:00 p.m. (EST) on September 9, 2005 and ends at 11:59 p.m. (EST) on March 3, 2006. All entries must be received by 11:59 p.m. (EST) on March 3, 2006.

3. To Enter: The Sweepstakes will be posted on http://www.mtvu.com/contests/curb_global_warming, a website (the "Web Site"), owned and controlled by MTV Networks On Campus Inc., a subsidiary of Viacom International Inc ("MTVNOC"). Sign up for the Stop Global Warming Virtual March (the "Virtual March"), anytime between 12:00 p.m. (EST) on September 9, 2005 and March 3, 2006, including "opting in" to enter the Sweepstakes. Entrants must complete all required fields on the Sweepstakes entry form and return such entry form no later than 11:59 p.m. (EST) on March 3, 2006. Entries submitted in accordance with these Official Rules ("Official Rules") shall be collectively referred to hereinafter as the "Eligible Entries." Enter as many times as you wish, but you will only be eligible to receive one prize. To earn additional entries into the Sweepstakes, Entrant will have the opportunity to "refer a friend" to enter the Virtual March. A referring entrant will receive one additional entry for each referred individual who enlists for the Virtual March and "opts in" to the Sweepstakes. NOTE: Referred entrants will have the opportunity to provide the email address of the referring party which must exactly match the email address used by such referring party to enter the Sweepstakes. Limit one prize per person or household. All entries become the property of MTVNOC and will not be returned.

4. Winner Selection: One (1) grand prize winner (the "Grand Prize Winner") will be selected in a random drawing, on or about March 8, 2006 from among all of the Eligible Entries received. The odds of winning will be determined by the total number of Eligible Entries received.

5. Grand Prize: (1) Grand Prize Winner will receive:
one 2004 Toyota Prius, as featured in HBO's "Curb Your Enthusiasm" (the "Prize Vehicle"). The Prize Vehicle, considered used has approximately 12,119 miles and shall be delivered to the Grand Prize Winner in "as is" condition, without warranty of any kind, express or implied. The approximate retail value (the "ARV") of the Grand Prize is $23,000. Grand Prize Winner is solely responsible for paying all costs and expenses not expressly set forth herein, including without limitation, the licensing, registration, and insurance for the Prize Vehicle. The ARV of the Grand Prize is subject to change on based on current market conditions at time of prize fulfillment. No substitution, transfer of the Grand Prize (or any portion thereof) permitted, except by MTVNOC due to prize unavailability at time of award. The tentative dates for fulfillment of the Grand Prize is by April 30, 2006. Arrangements for the fulfillment of the Grand Prize will be made by MTVNOC and Toyota Motor Sales. Prize Vehicle will be shipped to Grand Prize Winner's residence at (within the continental United States only).

6. Eligibility: Sweepstakes is open to legal residents of the continental United States who (a) are at least 18 years of age or older at time of entry and who are currently enrolled as a part-time or full-time student at a college or university. Participants must have a valid driver's license at time of entry. Eligibility will be determined by MTVNOC in its sole discretion, subject to all applicable federal, state and local laws and regulations. VOID IN ALASKA AND HAWAII AND WHEREVER PROHIBITED OR RESTRICTED BY LAW. Employees of MTVNOC, MTV Networks, a division of Viacom International Inc. ("MTV Networks"), Viacom International Inc. ("Viacom"), CBS, Toyota Motor Sales, Stop Global Warming and all sponsors (the foregoing collectively, the "Sweepstakes Entities"), and each of the foregoing's respective affiliated companies, subsidiaries, advertising agencies (and the immediate families of each) or any person who has won an MTV Networks national contest or sweepstakes in the 2005 calendar year are not eligible to participate in this Sweepstakes. By participating in this Sweepstakes, entrants agree to be bound by these Official Rules, by the decisions of MTVNOC, which are final in all matters relating to this Sweepstakes, and acknowledge compliance with these Official Rules.

7. Over the 24 hour period following the drawing, a representative from MTVNOC, or an authorized agent on its behalf, will make a minimum of three (3) attempts to reach a potential Grand Prize Winner via telephone at the phone numbers provided on the entry from. If Grand Prize Winner cannot be reached during the 24 hours in which he or she is called (no messages will be left on answering machines or voicemail systems) such potential Grand Prize Winner will be disqualified and an alternate winner may be selected in a random drawing from among all of the remaining Eligible Entries in MTVNOC's sole discretion.

Grand Prize Winner must prove eligibility, including verification of age, a copy of his/her driver's license and proof of residence within two (2) days of actual notification. In the event of non-compliance by Grand Prize Winner, Grand Prize Winner shall be disqualified from the Sweepstakes and all rights associated with being the Grand Prize Winner shall be terminated and an alternate winner may be selected in a random drawing from among all of the remaining Eligible Entries received in MTVNOC's sole discretion. Grand Prize Winner, as a condition of receiving the Grand Prize, must sign (i) an affidavit of eligibility and liability release and release the Sweepstakes Entities, Larry David "Artist") and Artist's Management and their respective corporate parents, subsidiaries, affiliated entities, advertising agencies and employees, from any and all liability, claims, demands, and causes of action for personal injury and/or damage, theft, loss, or any other harm suffered in connection with this Sweepstakes or the use or acceptance of the Grand Prize and (ii) except where prohibited, a promotional release granting the right to use his or her name and likeness for advertising and publicity purposes without additional compensation. Entry into this Sweepstakes constitutes Grand Prize Winner's agreement to sign each of the foregoing documents and Grand Prize Winner must sign and complete each, as well as furnish, complete and/or sign, as instructed by MTVNOC, any additional legal documents provided or required by MTVNOC with respect to the Grand Prize, and submit each to MTVNOC within two (2) days after its receipt or the notification by MTVNOC that such document is required. Noncompliance may result in disqualification. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY INDIVIDUAL (AT MTVNOC's SOLE DISCRETION) WILL RESULT IN DISQUALIFICATION AS GRAND PRIZE WINNER OF "mtvU's CURB GLOBAL WARMING SWEEPSTAKES" AND ANY AND ALL ASSOCIATED PRIVILEGES AS GRAND PRIZE WINNER WILL BE IMMEDIATELY TERMINATED AND, IN SUCH EVENT, AN ALTERNATE WINNER MAY BE SELECTED IN A RANDOM DRAWING FROM AMONG ALL OF THE REMAINING ELIGIBLE ENTRIES RECEIVED IN MTVNOC's SOLE DISCRETION. Upon receipt of the Grand Prize, Grand Prize Winner is required to comply with any and all applicable federal, state and local laws, rules and regulations. The value of the Grand Prize may be taxable as income and Grand Prize Winner shall be solely responsible for all matters relating to the Grand Prize, including, but not limited to all applicable federal, state and local taxes that become due with respect thereto.

8. No responsibility is assumed for incorrect or inaccurate entry information whether caused by a participant or by any of the equipment or programming associated with or utilized in this Sweepstakes or by any human error, which may occur in the processing of the entries in this Sweepstakes. Sweepstakes Entities are not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, networks, servers or providers, computer equipment, software, failure of e-mail or media on account of technical problems or traffic congestion on the Internet or at any web site or combination thereof, including injury or damage to participants or to any other person's computer related to or resulting from participating or downloading materials in this Sweepstakes. If, for any reason, the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sweepstakes Entities which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes or for any reason MTVNOC deems it necessary, including but not limited to change of date or cancellation of the Concert, MTVNOC reserves the right in its sole and unequivocal discretion to cancel, terminate, modify or suspend the Sweepstakes and/or prize(s). In such event, MTVNOC may then award the prize(s) in a random drawing from among all remaining Eligible Entries received prior to cancellation, termination, modification or suspension of the Sweepstakes. Entries that have been tampered with or altered are void. In the event of a dispute over who submitted a winning entry online, the authorized account holder of the winning e-mail account will be declared the Grand Prize Winner. An authorized account holder is defined as the person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g. business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. All interpretations of the rules and decisions by MTVNOC are final. MTVNOC reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or Web Site; to be acting in violation of the Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SWEEPSTAKES ENTITIES RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PARTICIPANT/INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. THE NEW YORK COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE SWEEPSTAKES AND THE LAWS OF THE STATE OF NEW YORK SHALL GOVERN THE SWEEPSTAKES. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS.
