1. NO PURCHASE NECESSARY TO ENTER OR WIN A PRIZE. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW.
2. Entry Period: The "The Indebted Digital Challenge" (the "Contest") commences at 5:00:01 PM (ET) on November 14, 2008 and ends at 11:59:59 PM (ET) on January 7, 2009 (the "Contest Period"). All Submission Materials (as defined herein) must be received by 11:59:59 PM (ET) on January 7, 2009.
3. Eligibility: The Contest is open to legal residents of the 50 United States and District of Columbia. Each entrant must be at least 18 years of age, but not older than 28 years of age, at time of entry. Collective teams of up to five (5) individuals are also permitted to participate together provided that one participating member is designated as the main contact and all participating members of each such team meet the eligibility requirements described in these Official Rules (a "Team"). Each member of a Team is considered an entrant and agrees to be bound by these Official Rules. Employees and their immediate families (i.e., parents, spouse, children, siblings, grandparents, step parents, step children and step siblings) of MTV Networks on Campus Inc., a subsidiary of Viacom International Inc, ("MTVNOC"), MTV Networks, a division of Viacom International Inc., ("MTVN") and Peter G. Peterson Foundation ("PGPF" and, collectively with MTVNOC and MTVN, the "Sponsors") and each of their respective affiliated companies, sponsors, subsidiaries, advertising agencies, third party fulfillment agencies (collectively, the "Sponsor Entities") and any person who has won an MTVNOC or MTVN sweepstakes or contest in the preceding twelve (12) month period before the end of the Contest Period, are not eligible. Each entrant must not be under any third party agreement which might interfere with such entrant’s participation in the Contest and the prizes awarded, including, but not limited to, the on air or online publication and distribution of such entrant’s Submission Materials. By participating in this Contest, entrant (a) agrees to be bound by these Official Rules and by the decisions of Sponsors which are final in all matters relating to the Contest and (b) acknowledges compliance with these Official Rules.
4. To Enter: Log onto to http://indebted.mtvU.com, a web site owned and controlled by MTVNOC (the "Web Site"), at any time during the Contest Period and follow the online instructions to complete all required fields on the online entry form. Entrant must also electronically acknowledge and agree to the terms of MTVNOC’s Privacy Policy and Terms of Use and these Official Rules and submit the online entry form as instructed. If entering as a Team, each member of the Team must also log onto the Web Site and agree to the terms of MTVNOC’s Privacy Policy and Terms of Use and these Official Rules and submit the online entry form as instructed.
Entrant must also:
a. submit the completed application that describes an idea for a video game that informs and raises awareness about the growing financial crisis and the heightened need for citizens and government to promote fiscal responsibility in the United States (the "Game") and
b. upload, as instructed, one of the following in downloadable format that describes the Game idea:
(i) a screenshot(s) [saved as a jpeg(s)],
(ii) sketches of designs [saved as a jpeg(s)], or
(iii) a working Flash prototype that is web-based. Prototypes should be freestanding and should not require purchase of any proprietary software.
All entries and content of submissions including the Game will be referred to as "Submission Material" or "Submission Materials". Limit one (1) entry per person (or per Team, if applicable). Incomplete or inaccurate Submission Materials are void.
All content of Submission Materials must be original to entrant (or to each member of Team that is an entrant, if applicable) and not have been released commercially in order to be eligible to enter the Contest. Submission Materials which contain elements that are not the original work of the entrant (or each member of Team that is an entrant, if applicable) or are illegible or incomplete will not be accepted. If any Submission Material was created by the result of any collaborative effort, each individual who has any right, title or interest in such Submission Material must be listed as a Team member.
Entrant agrees: (i) that it has all rights to the contents of Submission Materials and all components thereof, and that entrant has obtained all rights, consents and permission, including, but not limited to, those of persons participating in the Submission Material, necessary to grant the rights granted herein; (ii) that the Submission Materials do not and will not violate any law, statute, ordinance or regulation; (iii) that the Submission Materials are free and clear of any liens or claims with respect to the use of the Submission Materials in the manner authorized herein and will not give rise to any claims of infringement, invasion of privacy or publicity or claims, or infringe on any rights or interests of any third party, or give rise to any claims for any payment whatsoever, including but not limited to claims for re-use fees or residuals; and (iv) that the Submission Materials are not and will not be defamatory, trade libelous, pornographic or obscene.
For All Entrants’ Submission Materials:
Entrant agrees that by entering into this Contest his/she is granting MTVNOC (and any and all of MTVNOC’s subsidiaries and affiliates and affiliated broadcast stations and networks, successors and assignees and licensees) the non-exclusive, worldwide irrevocable right and license, but not the obligation, to exhibit, broadcast, copy, reproduce, encode, compress, encrypt, incorporate data into, edit, dub, superimpose, rebroadcast, transmit, record, publicly perform and distribute and synchronize in timed relation to visual elements, the Submission Materials and/or any portions or excerpts thereof, in any manner, an unlimited number of times, in any and all media, now known or hereafter devised for any purpose, throughout the world, for one year from the last day of the Contest Period which shall be January 7, 2010. MTVNOC may use the Submission Materials to advertise, promote and publicize MTVNOC, and MTVNOC’s and MTVN worldwide programming services and/or the Web Site or any other MTVNOC or MTVN web sites in all media throughout the universe and may authorize others to do so; such advertising, promotion and publicity may include portions and excerpts, in addition to cut-in, synchronized, dubbed and superimposed versions of the Submission Materials. The undersigned acknowledges that MTVNOC may use the Submission Materials in accordance with the permission granted herein without any payment to the undersigned or any third party.
For Grand Prize Winning Submission Materials:
Entrant agrees that the winning Submission Materials shall be deemed a "work for hire", with all rights therein, including without limitation, the exclusive copyright, being the property of MTVNOC, and in the event the winning Submission Materials are not considered to be a "work made for hire", entrant irrevocably assigns to MTVNOC all right, title and interest in the winning Submission Materials (including, without limitation, the copyright) in any and all media whether now known or hereafter devised, in perpetuity, anywhere in the world, with the right to make any and all uses thereof, including, without limitation, for purposes of advertising or trade. To the extent that entrant, if any, may be deemed an "author" of such winning Submission Materials, entrant further grants to MTVNOC a power of attorney, irrevocable and couple with an interest, on entrant’s behalf and in entrant’s name, to apply for and obtain, and on obtaining same, to assign to MTVNOC, all such copyrights and renewals and extensions thereof. Entrant (further agrees to perform such acts and execute and deliver to MTVNOC, and to cause each person rendering services in connection with the winning Submission Materials to perform such acts and execute and deliver to MTVNOC (a) written assignments to MTVNOC (in a form satisfactory to MTVNOC) in connection with all rights related to the of all winning Submission Materials copyright (including renewal and extension rights) such person may have, and/or (b) such other instruments as MTVNOC deems necessary to effectuate and/or record ownership of rights in connection with all elements of the winning Submission Materials hereunder with the U.S. Copyright Office or elsewhere. Entrant of the winning Submission Materials hereby irrevocably appoint MTVNOC as entrant’s agent and attorney-in-fact to execute the aforementioned instruments in entrant’s name and/or the name of such persons rendering services in connection with the winning Submission Materials and to dispose of such instruments; and entrant acknowledges that MTVNOC’s agency and power is couple with an interest. Without limiting the generality of the foregoing, the winning Submission Materials may be used by MTVNOC, its representatives, affiliates and licensees in whole or in part for any purpose whatsoever without any compensation to Grand Prize Winner (as defined herein) beyond the Grand Prize (as defined herein), including, but not limited to the unconditional right to exhibit, broadcast, copy, reproduce, encode, compress, encrypt, incorporate data into, edit, broadcast, rebroadcast, transmit, record, publicly perform, create derivate works of, and distribute and synchronize in time related to visual elements, the materials contained in the winning Submission Materials and/or any portion or excerpts thereof, in any manner, an unlimited number of times, in any and all media, now known or hereafter devised.
Entrant agrees Submission Materials shall not contain, include or involve any of the following:
• Obscenity
• Crude, vulgar or offensive pictures, depictions, images, language and/or symbols
• Gang signs or symbols
• Gratuitous violence, gun or other imagery or gestures of weapons.
• Nudity
• Explicit, graphic or excessive sexual activity
• Commercial products (e.g., clothing, toys, food) and/or their trademarks, brands or logos
• Hard liquor use or product images
• License plates, phone numbers, personal addresses – physical or email or otherwise
• Illegal drug or alcohol use or abuse
• Derogatory characterizations of any ethnic, racial, sexual or religious groups. humiliate other people (publicly or otherwise), any assault or threatening of others
• Trespass or the violation of other people’s rights or property
• Illegal (e.g., discriminatory, harassing) or inappropriate activity, behavior or conduct (e.g., inflicting emotional distress)
• Conduct or activities in violation of these Official Rules
• Any other content, display, materials and/or images that is or could be considered inappropriate, unsuitable or offensive, as determined by MTVNOC, in its sole discretion
Submission Materials containing content which endorses or condones illegal drug use or alcohol abuse is not allowed. Narcotic addiction and alcohol abuse should only be depicted as self-destructive, anti-social behavior. Submission Materials should not promote, glamorize or show as socially acceptable, the use of illegal drugs or the abuse of legal drugs. Submission Materials containing explicit, graphic or excessive sexual activity is not allowed. When sexual themes are key to the meaning or intent of a song they must be depicted with consistent regard for commonly accepted standards of taste and propriety. Submission Materials containing gratuitous violence is unacceptable. Violence, if depicted, must be essential to the development of a theme, plot or concept of the Submission Material. Violence may not be used to stimulate the audience or to invite imitation, nor may it be shown or offered as an acceptable solution to problem or conflict. Exceptional care must be taken in instances where women and children are victims of, or are threatened by, acts of violence. Language contained in Submission Materials will be evaluated by MTVNOC based on content and societal acceptability. MTVNOC reserves the right to reject any Submission Materials that it deems, in its sole discretion, to violate any of the policies of MTVNOC’s "Standards and Practices Guidelines."
All Submission Materials submitted in accordance with these Official Rules shall be collectively hereinafter referred to as the "Eligible Entry" or "Eligible Entries".
In submitting Submission Materials into this Contest, each entrant agrees to, confirms and represents to MTVNOC that neither he/she nor anyone else has engaged or taken part in (or induced or encouraged anyone else to do so) in any activity or conduct in connection with this Contest that (i) may or is likely to harm or create a risk of harm, physical or mental injury, emotional distress, death, disability, disfigurement, or physical or mental illness to any person, other living thing or any property, (ii) may or is likely to create a risk of any other loss or damage to person, living things or property, (iii) is or may constitute a crime, unlawful or non-consensual activities (e.g., conduct that could lead to criminal prosecution), tortious conduct (e.g., conduct that could lead to civil prosecution) or the violation or infringement of the rights of any other party or (iv) violates any of the terms or conditions of these Official Rules.
MTVNOC is not obligated to review, consider, use, publish, display or broadcast any materials submitted with a Submission Material; provided, however, that each entrant acknowledges that MTVNOC will rely on such entrant’s agreement and compliance with these Official Rules when entrant submits or attempts to submit the Submission Material. MTVNOC may modify or edit any Submission Materials related to a Contest entry or request entrant to do so, so that such Submission Materials meet such guidelines.
5. The Judging: The Grand Prize Winner may be an individual entrant or a Team of entrants responsible for the submission of a single entry. The official judging panel will be comprised of representatives from MTVNOC, PGPF, student representatives and/or guest celebrity judges, in Sponsor’s sole discretion (collectively the "Judges") and the Eligible Entries will be judged based on the judging criteria set forth herein Paragraph 6 below. The final determination of the Grand Prize Winner and the application of the judging criteria shall be in the sole and absolute discretion of the Judges. In the event of a tie or dispute or for any other reason that MTVNOC deems necessary during any round of the Contest, determination of the Grand Prize Winner shall be made by MTVNOC. To the extent permitted by law, Sponsor Entities and Judges disclaim any liability from, and all entrants, whether or not a Grand Prize Winner, agree to waive, any claims against Sponsor Entities and Judges relating to the judging or awarding process. MTVNOC reserves the right to delay the announcement of the Grand Prize Winner in its sole discretion. All Submission Materials, whether or not Eligible Entries, become the property of MTVNOC and will not be acknowledged or returned.
6. Judging Criteria: The Judges will judge the Eligible Entries based on originality, creativity, ease of game play, uniqueness and based on which entry most effectively: (a) presents an innovative idea that raises awareness about the dangers of spending too much and saving too little, and the urgent need for both citizens and government to make responsible choices about their finances; (b) addresses the potential future ramifications of inaction; (c) identifies ways to combat the nation’s looming fiscal crisis through citizen advocacy and combat personal financial risk through debt management at home; (d) compels users to learn more about debt-related issues and take action after game play via an mtvU-developed microsite; and (e) has the appropriate feasibility for game development and distribution online. The Judges reserve the right to conduct phone interviews with any entrant in order to clarify any information in his or her Eligible Entry. The Judges also reserve the right to extend the Contest Period or not to award some or all of the Grand Prize if they determine, in their sole discretion, that some or all of the Eligible Entries received did not meet the minimum qualification standards based on the judging criteria specified herein.
7. Winner Selection/Notification: One (1) Grand Prize Winner (the "Grand Prize Winner") will be selected by the Judges on or about January 23, 2009. MTVNOC will make up to three (3) attempts over the 72 hour period following winner selection to contact the potential Grand Prize Winner (or the main contact of a Team that is a Grand Prize Winner, if applicable). If the potential Grand Prize Winner (or the main contact of the Team that is the Grand Prize Winner, if applicable) cannot be reached during the 72 hour period in which he/she is called (no messages will be left on answering machines or voicemail systems) the potential Grand Prize Winner will be disqualified and an alternative Grand Prize Winner will be selected from among the remaining Eligible Entries received. In addition, MTVNOC reserves the right to select an alternative winner in the event that any Grand Prize Winner (or any member of a Team that is a Grand Prize Winner, if applicable) fails to comply with these Official Rules.
8. Grand Prize Winner Verification: The potential Grand Prize Winner (or each member of Team that is a winning entrant, if applicable) must prove eligibility, including, without limitation, proof of age and residence, social security or resident alien identification number, within five (5) days of being notified as a potential Grand Prize Winner. In the event of non-compliance by the potential Grand Prize Winner (or any member of a Team that is a Grand Prize Winner, if applicable) such potential Grand Prize Winner shall be disqualified and all privileges otherwise due as a Grand Prize Winner shall be terminated and an alternative potential Grand Prize Winner may be chosen from among all of the remaining Eligible Entries received in MTVNOC’s sole discretion. The Grand Prize Winner must sign within five (5) days of receipt of such documents from MTVNOC: (a) an affidavit of eligibility and release of Sponsor Entities and their respective officers, directors, employees, agents, members, affiliated companies and subsidiaries, from any and all liability, loss, claims, demands, and causes of action for personal injury and/or damage, theft, loss, or any other harm suffered in connection with this Contest or the use/misuse or acceptance of the Grand Prize and (b) except where prohibited, a promotional release granting Sponsor Entities the right to use their name and likeness, signature, voice and biography for advertising and publicity purpose without additional compensation; and (c) an assignment of rights to MTVNOC in and to the winning Eligible Entry. Grand Prize Winner agrees to the foregoing and in addition the Grand Prize Winner agrees to obtain, upon request of MTVNOC any additional documentation and releases necessary to prove his/her unrestricted ownership in all materials contained in the winning Eligible Entry and MTVNOC’s right to own or use such Eligible Entry, in whole or in part, without limitation in all media and for any purpose whatsoever without compensation or further obligation to Grand Prize Winner except the Grand Prize as set forth herein. Entry into this Contest constitutes agreement to sign such releases. Grand Prize Winner must also complete any additional legal documents provided by MTVNOC (or third party on its behalf, if applicable) with respect to the Grand Prize and return them as instructed within the time frame specified by MTVNOC or Grand Prize Winner may forfeit the Grand Prize at MTVNOC’s sole discretion. MTVNOC expressly reserves the right to delay the announcement of the winner for creative or technical reasons or for any other reason MTVNOC deems necessary. The affidavit of eligibility must be complete and must include the Grand Prize Winner’s social security or resident alien identification number. The information in Grand Prize Winner’s Affidavit of Eligibility must be correct and must be identical to the information provided in Grand Prize Winner’s Submission Materials or the Grand Prize Winner will be disqualified.
9. Grand Prize: There will be one (1) Grand Prize Winner. A winning Team is considered one (1) Grand Prize Winner. The Grand Prize Winner will receive: (a) the opportunity to have their winning Game developed, produced and marketed by MTVNOC and (b) $10,000.00 (the "Grand Prize"). Notwithstanding anything to the contrary, MTVNOC shall have the option and right, in its sole and absolute discretion, to enter into a separate work-for-hire agreement with each member of the Team deemed the Grand Prize Winner (either individually or collectively) in connection with further development of the Game (including any elements of the winning Submission Materials) (the "Work-For-Hire Agreement"); provided, however, if MTVNOC and Grand Prize Winner (either individually or collectively) fail to agree on the material terms of the Work-For-Hire Agreement such that Grand Prize Winner, including each member of a Team that is a Grand Prize Winner, fails to execute the Work-For-Hire Agreement within a period of time to be designated by MTVNOC, in its sole and absolute discretion, MTVNOC shall have no further obligation to Grand Prize Winner except as set forth herein. The approximate retail value (the "ARV") of the Grand Prize is $10,000.
If an Eligible Entry submitted by a Team is chosen as a Grand Prize Winner, the Team member designated as the entrant by the Team will accept the Grand Prize in total as listed above on behalf of the Team. The other Team members of the winning Team will not receive separate Grand Prizes nor will the Grand Prize be more than as specifically stated above. Sponsors disclaim any and all liability based on any failure by the designated Team member to distribute the Grand Prize among the other Team members.
10. General Prize Terms: Arrangements for fulfillment of the Grand Prize will be made by MTVNOC. The dates for the fulfillment of the Grand Prize will be on or around March 1, 2009, subject to programming requirements and such dates are subject to change in MTVNOC’s sole discretion. All costs and expenses not specifically listed above are solely Grand Prize Winner’s responsibility. The value of the Grand Prize may be taxable to Grand Prize Winner as income. Upon receipt of the Grand Prize, Grand Prize Winner is required to comply with any and all applicable federal, state, and local laws, rules, and regulations. All federal, state and local taxes, and any other costs not specifically provided for in these Official Rules are solely the Grand Prize Winner’s responsibility. MTVNOC shall have no responsibility or obligation to a winner or potential Grand Prize Winner who is unable or unavailable to accept or utilize the Grand Prize as described herein.
No substitution, transfer or cash equivalent of the Grand Prize or any portion thereof permitted, except by MTVNOC in its sole discretion, in which case a prize of equal or greater value may be awarded.
11. General Terms: Noncompliance with any of these Official Rules may result in disqualification. ANY VIOLATION OF THESE OFFICIAL RULES BY A GRAND PRIZE WINNER OR ANY BEHAVIOR BY A GRAND PRIZE WINNER THAT WILL BRING SUCH GRAND PRIZE WINNER OR MTVNOC INTO DISREPUTE (IN MTVNOC's SOLE DISCRETION) WILL RESULT IN SUCH GRAND PRIZE WINNER’S DISQUALIFICATION AS A GRAND PRIZE WINNER OF THIS CONTEST AND ALL PRIVILEGES AS A GRAND PRIZE WINNER WILL BE IMMEDIATELY TERMINATED. All interpretations of these Official Rules and decisions by MTVNOC are final.
The Sponsor Entities assume no responsibility for incorrect or inaccurate entry information whether caused by any of the equipment or programming associated with or utilized in this Contest or by any human error which may occur in the processing of the Submission Materials in this Contest. The Sponsor Entities are not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or players on account of technical problems or traffic congestion on the Internet or at any web site, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Contest. The Sponsor Entities are not responsible for any typographical or other error in the printing of the offer, administration of the Contest, or in the announcement of the Grand Prize/Grand Prize Winner. If, for any reason, the Contest is not capable of running as planned, including, without limitation, changes in MTVNOC’s on-air programming, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor Entities which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, the Sponsor Entities reserve the right in their sole discretion to cancel, terminate, modify or suspend the Contest. Should the Contest be terminated prior to the stated expiration date, notice will be posted on http://indebted.mtvu.com and the Grand Prizes may be awarded to winners to be selected from among all Eligible Entries received up until the time of termination, in Sponsors sole discretion. No software-generated, robotic, programmed, script, macro or other automated online or text message Submission Materials are permitted and will result in disqualification of all such Submission Materials. The Sponsor Entities reserve the right in their sole discretion to disqualify any individual they find to have tampered with the entry process or the operation of this Contest; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person or to have provided inaccurate information on any legal documents submitted in connection with this Contest. CAUTION: ANY ATTEMPT BY ANY INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, MTVNOC RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. THE NEW YORK COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE CONTEST AND THE LAWS OF THE STATE OF NEW YORK SHALL GOVERN THE CONTEST. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS.
12. Ownership: Past experience has confirmed that contests and other competitions generate substantially similar submissions or Submission Materials which closely resemble concepts and ideas that have been or will be independently developed by Sponsor Entities before or after the Contest. Accordingly, entrant may subsequently see a Sponsor Entity presentation which seemingly incorporates an idea or concept or includes materials similar to that contained in their Submission Materials. Any similarity is purely coincidental and unavoidable in light of the volume of ideas which Sponsor Entities routinely considers in the course of their program development. Because of this possibility, entrant hereby agrees to submit their Submission Materials under the following terms and conditions: (a) that Sponsor Entities may use any ideas, concepts, material, in whole or in part, contained in a Submission Material, (b) that all Submission Materials submitted become the property of Sponsor Entities and will not be returned; (c) that all Submission Materials submitted are free from any lien or claim by anyone, including, but not limited to any union, guild or performance rights society; (d) entrant has obtained all rights, permissions and licenses necessary for Sponsor Entities to use the Submission Materials for any purpose; (e) that no entry or any part thereof infringes any trademark or copyright or otherwise violates anyone’s right of privacy or publicity; and (f) entrant indemnifies and holds harmless Viacom International Inc., MTVN, MTVNOC and PGPF and their respective parent companies, officers, directors, employees, agents, members, affiliated companies and subsidiaries from any claims, suits, losses damages and expenses (including reasonable attorneys’ fees) that arise from any breach of the following conditions. Entrant agrees to the foregoing and in addition agree to obtain, upon request of Sponsor Entities any documentation and releases necessary to prove their unrestricted ownership in all materials contained in their Submission Materials and Sponsor Entities right to use such Submission Materials, in whole or in part, without limitation in all media and for any purpose whatsoever without compensation.
