mtvU's "STUDY BREAK with The Beastie Boys" CONTEST
OFFICIAL RULES


1. NO PURCHASE NECESSARY TO ENTER OR WIN A PRIZE. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

2. Promotion Period: "mtvU's Study Break with Beastie Boys Contest" (the "Contest") commences at 6:00 a.m. (EST) on September 20, 2004 and ends at 10:00 a.m. (EST) on October 4, 2004. All entries must be received by 10:00 a.m. (EST) on October 4, 2004.

3. To Enter: The Contest will be posted on mtvu.com (the "Web Site"), a web site owned and controlled by MTV Networks On Campus Inc., a subsidiary of Viacom International Inc. ("MTVNOC"), starting at or around 6:00 a.m. (EST) on September 20, 2004. Entrants must complete all required fields on the Contest entry form and return such entry form no later than 10:00 a.m. (EST) on October 4, 2004. Entries submitted in accordance with these Official Rules shall be collectively referred to hereinafter as the "Eligible Entries." Enter as many times as you wish, but you will only be eligible to receive one prize. Limit one prize per person or household. All entries become the property of MTVNOC.

4. Winner Selection: One (1) grand prize winner (the "Grand Prize Winner") will be selected at random, on or about October 8, 2004 from among all of the Eligible Entries received. The odds of winning will be determined by the total number of Eligible Entries received.

5. Grand Prize (1) Grand Prize Winner will receive a trip to Montreal, Canada ("Concert City") for two which includes: (a) roundtrip coach air transportation for Grand Prize Winner and one (1) guest (the "Guest") from a major U.S. airport of MTVNOC's choice near Grand Prize Winner's residence to Concert City; (b) hotel accommodations for Grand Prize Winner and Guest for two nights in Concert City (costs for room and tax only based on one room with double occupancy. Meals, telephone calls and other incidentals are not included); (c) roundtrip airport transfers in Concert City to and from the hotel; (d) two (2) tickets and backstage passes to a music concert performed by Beastie Boys (the "Band"); (e) roundtrip ground transportation to and from the Concert; (f) a "meet and greet" with the Band, subject to the Band's availability and (g) $500 spending money for Grand Prize Winner (to be awarded in the form of a credit on his/her existing Citibank credit card, or in the form of a check if Grand Prize Winner is not a Citibank cardholder at time of prize fulfillment)(the foregoing, collectively, the "Grand Prize"). The tentative dates for the prize fulfillment will be between November 6, 2004 and November 8, 2004, and are subject to change at MTVNOC's sole discretion. If Grand Prize Winner is not available to travel during such dates, then all privileges as a Grand Prize Winner will immediately be terminated. The total approximate retail value (the "ARV") of the Grand Prize is $2000. No substitution, transfer of the Grand Prize (or any portion thereof) or cash alternative permitted, except by MTVNOC, in which case a prize of equal or greater value will be awarded. The ARV for the Grand Prize is subject to change based on current market conditions at time of prize fulfillment. Any expenses not listed herein are not included.

6. Eligibility: Contest is open to legal residents of the continental United States who are at least 18 years of age or older at time of entry and who are currently enrolled as a part-time or full-time student at a college or university that is a current carrier of the programming service entitled mtvU ("mtvU") at time of entry. Guest traveling with Grand Prize Winner must be at least 18 years of age at the time of Grand Prize fulfillment and both Grand Prize Winner and Guest must possess valid travel documents for entry into Canada at time of prize fulfillment. VOID IN ALASKA AND HAWAII AND WHEREVER PROHIBITED OR RESTRICTED BY LAW. Employees of MTVNOC, MTV Networks, Viacom International Inc., Capitol Records, Band, Band's Management, and each of the foregoing's respective affiliated companies, sponsors, subsidiaries, advertising agencies (and the immediate families of each) or any person who has won an MTVNOC National Contest or Sweepstakes in the 2004 calendar year are not eligible to participate in this Contest. By participating in this Contest, entrants agree to be bound by these official rules ("Official Rules"), by the decisions of MTVNOC judges, which are final in all matters relating to this Contest, and acknowledge compliance with these Official Rules.

7. Over the 24 hour period following the drawing, a representative from MTVNOC, or an authorized agent on its behalf, will make a minimum of three (3) attempts to reach a potential Grand Prize Winner via telephone at the phone numbers provided on the entry from. If Grand Prize Winner cannot be reached during the 24 hours in which he or she is called (no messages will be left on answering machines or voicemail systems) such potential Grand Prize Winner will be disqualified and an alternate winner may be selected at random from among all of the remaining Eligible Entries.

Grand Prize Winner must prove eligibility, including verification of age and proof of residence within two (2) days of attempted notification. In the event of non-compliance by any potential Grand Prize Winner, such potential Grand Prize Winner shall be disqualified from the Contest and all rights associated with being a Grand Prize Winner shall be terminated and an alternate winner may be chosen from among all of the remaining Eligible Entries received in MTVNOC's sole discretion. Grand Prize Winner, as a condition of receiving a prize, must sign (i) an affidavit of eligibility and liability release and release MTVNOC, MTV Networks, Viacom International Inc. and any and all sponsors, including Citicorp Credit Services, Inc. and their respective corporate parents, subsidiaries, affiliated entities, advertising agencies and employees, from any and all liability, claims, demands, and causes of action for personal injury and/or damage, theft, loss, or any other harm suffered in connection with this Contest or the use or acceptance of the Grand Prize (ii) except where prohibited, a promotional release granting the right to use his or her name and likeness for advertising and publicity purposes without additional compensation. Entry into this Contest constitutes Grand Prize Winner's agreement to sign such releases. Grand Prize Winner must also complete any additional legal documents provided by sponsors with respect to the Grand Prize and return them to MTVNOC within two (2) days after receipt of such documents. Noncompliance may result in disqualification. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY INDIVIDUAL (AT MTVNOC's SOLE DISCRETION) WILL RESULT IN DISQUALIFICATION AS GRAND PRIZE WINNER OF "mtvU's STUDY BREAK WITH BEASTIE BOYS CONTEST" AND ANY AND ALL ASSOCIATED PRIVILEGES AS GRAND PRIZE WINNER WILL BE IMMEDIATELY TERMINATED. Upon receipt of the Grand Prize, Grand Prize Winner is required to comply with any and all applicable federal, state and local laws, rules and regulations. The value of the Grand Prize may be taxable as income and the Grand Prize Winner shall be solely responsible for all matters relating to the Grand Prize, including, but not limited to all applicable federal, state and local taxes that become due with respect thereto.

8. No responsibility is assumed for incorrect or inaccurate entry information whether caused by a participant or by any of the equipment or programming associated with or utilized in this Contest or by any human error, which may occur in the processing of the entries in this Contest. MTVNOC, MTV Networks, Viacom International Inc, Capitol Records, Band and Band's Management are not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, networks, servers or providers, computer equipment, software, failure of email or media on account of technical problems or traffic congestion on the Internet or at any web site or combination thereof, including injury or damage to participants or to any other person's computer related to or resulting from participating or downloading materials in this Contest. If, for any reason, the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of any and all sponsors which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest or for any reason MTVNOC or any and all sponsors deem it necessary, including but not limited to change of date or cancellation of the Concert , MTVNOC and any and all sponsors reserve the right in their sole and unequivocal discretion to cancel, terminate, modify or suspend the Contest and/or prizes. In such event, MTVNOC may then award the prizes by a random drawing from among all remaining Eligible Entries received prior to cancellation, termination, modification or suspension of the Contest. Entries that have been tampered with or altered are void. In the event of a dispute over who submitted a winning entry online, the authorized account holder of the winning e-mail account will be declared the Grand Prize Winner. An authorized account holder is defined as the person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g. business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. All interpretations of the rules and decisions by MTVNOC are final. MTVNOC reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the game or Web Site; to be acting in violation of the Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, MTVNOC AND SPONSORS RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PARTICIPANT/INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. THE NEW YORK COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE CONTEST AND THE LAWS OF THE STATE OF NEW YORK SHALL GOVERN THE CONTEST. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS.

All requests must be received by December 15, 2004. Please note on the front left hand corner of your outer envelope whether you are requesting "Official Rules" or the name of the "Grand Prize Winner". Vermont residents may omit return postage if requesting a set of Official Rules.
