mtvU's "STUDY BREAK with Jack Johnson" CONTEST
OFFICIAL RULES


1. NO PURCHASE NECESSARY TO ENTER OR WIN A PRIZE. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

2. Promotion Period: "mtvU's Study Break with Jack Johnson Contest" (the "Contest") commences at 12:00 p.m. (EST) on April 15, 2005 and ends at 11:59 a.m. (EST) on June 1, 2005. All entries must be received by 11:59 a.m. (EST) on June 1, 2005.

3. To Enter: The Contest will be posted on mtvu.com, a website (the "Web Site"), owned and controlled by MTV Networks On Campus Inc., a subsidiary of Viacom International Inc ("MTVNOC"), starting at or around 12:00 p.m. (EST) on April 15, 2005. Entrants must complete all required fields on the Contest entry form and return such entry form no later than 11:59 a.m. (EST) on June 1, 2005. Entries submitted in accordance with these Official Rules ("Official Rules") shall be collectively referred to hereinafter as the "Eligible Entries." Enter as many times as you wish, but you will only be eligible to receive one prize. Limit one prize per person or household. All entries become the property of MTVNOC and will not be returned.

4. Winner Selection: One (1) grand prize winner (the "Grand Prize Winner") will be selected in a random drawing, on or about June 6, 2005 from among all of the Eligible Entries received. The odds of winning will be determined by the total number of Eligible Entries received.

5. Grand Prize: (1) Grand Prize Winner will receive a trip to Austin, Texas ("Concert City") for two (2) which includes: (a) roundtrip coach air transportation for Grand Prize Winner and one (1) guest (the "Guest") from a major U.S. airport of MTVNOC's choice near Grand Prize Winner's residence to Concert City; (b) hotel accommodations for Grand Prize Winner and Guest for two nights in Concert City (costs for room and tax only based on one room with double occupancy; meals, telephone calls and other incidentals are not included); (c) roundtrip ground airport transfers in Concert City to and from the hotel; (d) two (2) tickets and backstage passes to a music concert (the "Concert") performed by Jack Johnson (the "Artist"); (e) roundtrip ground transportation between the hotel and the Concert venue; (f) a "meet and greet" with the Artist, subject to the Artist's availability and (g) $500 spending money for Grand Prize Winner (to be awarded in the form of a statement credit on his/her existing Citi mtvU credit card, or in the form of a check if Grand Prize Winner is not a Citi mtvU credit card cardholder at time of prize fulfillment) (the foregoing, collectively, the "Grand Prize"). The tentative dates for the prize fulfillment will be between August 1, 2005 and August 3, 2005, and are subject to change at MTVNOC's sole discretion. If Grand Prize Winner is not available to travel during such dates, then all privileges as a Grand Prize Winner will immediately be terminated and an alternate winner may be selected in a random drawing from among all of the remaining Eligible Entries received in MTVNOC's sole discretion. The total approximate retail value (the "ARV") of the Grand Prize is $2500. No substitution, transfer of the Grand Prize (or any portion thereof) or cash alternative permitted, except by MTVNOC, in which case a prize of equal or greater value will be awarded, except that in the event Artist is unavailable to fulfill the "meet and greet" portion of the Grand Prize for any reason, the "meet and greet" portion shall not be substituted. The ARV for the Grand Prize is subject to change based on current market conditions at time of prize fulfillment. Any expenses not listed herein are not included.

6. Eligibility: Contest is open to legal residents of the continental United States who are at least 18 years of age or older at time of entry and who are currently enrolled as a part-time or full-time student at a college or university that is a current carrier of the programming service entitled mtvU at time of entry. Eligibility will be determined by MTVNOC in its sole discretion, subject to all applicable federal, state and local laws and regulations. Guest traveling with Grand Prize Winner must be at least 18 years of age at the time of Grand Prize fulfillment. VOID IN ALASKA AND HAWAII AND WHEREVER PROHIBITED OR RESTRICTED BY LAW. Employees of MTVNOC, MTV Networks, a division of Viacom International Inc. ("MTV Networks"), Viacom International Inc. ("Viacom"), CBS Broadscasting Inc. ("CBS"), Universal Records, the sponsor, Citicorp Credit Services Inc. ("Citicorp"), any additional or substitute sponsors (individually and collectively, including with respect to Citicorp, referred to as the "Sponsor(s)"), Artist, Artist's management ("Artist's Management") and each of the foregoing's respective affiliated companies, subsidiaries, advertising agencies (and the immediate families of each) or any person who has won an MTV Networks National Contest or Sweepstakes in the 2005 calendar year are not eligible to participate in this Contest. By participating in this Contest, entrants agree to be bound by these Official Rules, by the decisions of MTVNOC, which are final in all matters relating to this Contest, and acknowledge compliance with these Official Rules.

7. Over the 24 hour period following the drawing, a representative from MTVNOC, or an authorized agent on its behalf, will make a minimum of three (3) attempts to reach a potential Grand Prize Winner via telephone at the phone numbers provided on the entry from. If Grand Prize Winner cannot be reached during the 24 hours in which he or she is called (no messages will be left on answering machines or voicemail systems) such potential Grand Prize Winner will be disqualified and an alternate winner may be selected in a random drawing from among all of the remaining Eligible Entries in MTVNOC's sole discretion.

Grand Prize Winner must prove eligibility, including verification of age and proof of residence within two (2) days of actual notification. In the event of non-compliance by such Grand Prize Winner, such Grand Prize Winner shall be disqualified from the Contest and all rights associated with being a Grand Prize Winner shall be terminated and an alternate winner may be selected in a random drawing from among all of the remaining Eligible Entries received in MTVNOC's sole discretion. Grand Prize Winner, as a condition of receiving a prize, must sign and have his/her guest sign (i) an affidavit of eligibility and liability release and release MTVNOC, MTV Networks, Viacom, CBS, Universal Records, Citicorp, any other Sponsor(s), Artist and Artist's Management and their respective corporate parents, subsidiaries, affiliated entities, advertising agencies and employees, from any and all liability, claims, demands, and causes of action for personal injury and/or damage, theft, loss, or any other harm suffered in connection with this Contest or the use or acceptance of the Grand Prize and (ii) except where prohibited, a promotional release granting the right to use his or her name and likeness for advertising and publicity purposes without additional compensation. Entry into this Contest constitutes Grand Prize Winner's agreement to sign each of the foregoing documents and Grand Prize Winner must sign and complete each, as well as furnish, complete and/or sign, as instructed by MTVNOC, any additional legal documents provided or required by MTVNOC with respect to the Grand Prize , and submit each to MTVNOC within two (2) days after its receipt or the notification by MTVNOC that such document is required (including, without limitation, any travel documents that may necessary for Grand Prize Winner's travel to the Concert, wherever the Concert may ultimately be held, in MTVNOC's sole discretion, whether within or without the United States). Noncompliance may result in disqualification. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY INDIVIDUAL (AT MTVNOC's SOLE DISCRETION) WILL RESULT IN DISQUALIFICATION AS GRAND PRIZE WINNER OF "mtvU's STUDY BREAK WITH JACK JOHNSON CONTEST" AND ANY AND ALL ASSOCIATED PRIVILEGES AS GRAND PRIZE WINNER WILL BE IMMEDIATELY TERMINATED AND, IN SUCH EVENT, AN ALTERNATE WINNER MAY BE SELECTED IN A RANDOM DRAWING FROM AMONG ALL OF THE REMAINING ELIGIBLE ENTRIES RECEIVED IN MTVNOC's SOLE DISCRETION. Upon receipt of the Grand Prize, Grand Prize Winner is required to comply with any and all applicable federal, state and local laws, rules and regulations. The value of the Grand Prize may be taxable as income and Grand Prize Winner shall be solely responsible for all matters relating to the Grand Prize, including, but not limited to all applicable federal, state and local taxes that become due with respect thereto.

8. No responsibility is assumed for incorrect or inaccurate entry information whether caused by a participant or by any of the equipment or programming associated with or utilized in this Contest or by any human error, which may occur in the processing of the entries in this Contest. MTVNOC, MTV Networks, Viacom, CBS, Universal Records, Sponsor(s), Artist and Artist's Management are not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, networks, servers or providers, computer equipment, software, failure of e-mail or media on account of technical problems or traffic congestion on the Internet or at any web site or combination thereof, including injury or damage to participants or to any other person's computer related to or resulting from participating or downloading materials in this Contest. If, for any reason, the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of MTVNOC or any Sponsor(s) which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest or for any reason MTVNOC or any Sponsor(s) deem it necessary, including but not limited to change of date or cancellation of the Concert, MTVNOC and Sponsor(s) reserve the right in their sole and unequivocal discretion to cancel, terminate, modify or suspend the Contest and/or prize(s). In such event, MTVNOC may then award the prize(s) in a random drawing from among all remaining Eligible Entries received prior to cancellation, termination, modification or suspension of the Contest. Entries that have been tampered with or altered are void. In the event of a dispute over who submitted a winning entry online, the authorized account holder of the winning e-mail account will be declared the Grand Prize Winner. An authorized account holder is defined as the person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g. business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. All interpretations of the rules and decisions by MTVNOC are final. MTVNOC reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or Web Site; to be acting in violation of the Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, MTVNOC AND SPONSOR(S) RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PARTICIPANT/INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. THE NEW YORK COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE CONTEST AND THE LAWS OF THE STATE OF NEW YORK SHALL GOVERN THE CONTEST. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS.

All requests must be received by June 15, 2005. Please note on the front left hand corner of your outer envelope whether you are requesting "Official Rules" or the name of the "Grand Prize Winner." Vermont residents may omit return postage if requesting a set of Official Rules.
